Corporate Citizenship in a Global Age – the Delaware Factor

What is the state of citizenship for purposes of diversity jurisdiction for a global entity with a US presence. A recent Third Circuit opinion found diversity jurisdiction as to GSK, and some plaintiff’s lawyers are not happy with the outcome. See here. But the outcome also could create some issues for defendants because Delaware has some unusually innovative laws and judges (chancellors). In short, pieces continue to move around on the global chess board for litigation. For now, presumably most will watch to see if SCOTUS agrees to review the GSK decision.
